Question can't get my cable modem up

Caldera eDesktop 2.4 - Cable Modem

my NIC card has been detected, but funny scenario:

#dmesg
eth0: RealTek rtl8139 Fast Ethernet at 0x2400, IRQ 0, 00:50:ba:43:a0:ef

/*I noticed that it detected the correct module (rtl8139) but I'm using D-Link and not RealTek, which uses the same module. I don't think that is a big deal, but I don't know. IRQ maybe?*/

#lsmod
Module Size Used by
rtl8139 11804 0 (unused)

#ifconfig eth0 up
SIOCSIFFLAGS:Resource temporarily unavailable

I'm thinking that there may be an IRQ conflict, but I don't know. If there is, how do I change it? If it is a driver thing, I have the driver on a floppy, but how do I install it? If it is not any of what i've mentioned, can anyone help me figure it out?
Thanks in advance.

IRQ

Certainly looks like an IRQ problem based on your dmesg output....
