Code:
awk 'NR == FNR {
  rec[$1] = $0
  rest[$1] = $3 FS $4 FS $5
  next
  }
$1 in rec && $0 = /Total/?rec[$1]:$0FS rest[$1]
' file2 file1

Code:
cat File1.txt
Filename1 xx
Filename1 yy
Filename1 Total
Filename2 xx
Filename2 yy
Filename2 zz
Filename2 Total
Filename3 xx
Filename3 Total

cat File2.txt
Filename1 10296 xxx Date: 09/01/08
Filename2 10296 xxx Date: 09/05/08
Filename3 10296 xxx Date: 09/08/08

awk '{print $1,$2,$3,$4,$5}' File2.txt | while read f1 f2 f3 f4 f5
do
        awk -v f1="$f1" -v f2="$f2" -v f3="$f3" -v f4="$f4" -v f5="$f5" '{
        if($1 == f1)
        {
                if($2 == "Total")
                {
                        print $1,f2,f3,f4,f5;
                }
                else
                {
                        print $1,$2;
                }
        }
        }' File1.txt

hi...
this is giving me

Filename1 xx 10296 xxx Date:
Filename1 yy 10296 xxx Date:
Filename1 10296 xxx Date: 09/01/08
Filename2 xx Date:
Filename2 yy 10296 xxx Date:
Filename2 zz 10296 xxx Date:
Filename2 10296 xxx Date: 09/05/08
Filename3 xx 10296 xxx Date:
Filename3 10296 xxx Date: 09/08/08

I can use this..but the last code you gave me worked better..This is replacing the total line only with the date.
Ideally: the output will change date every total line.

Filename1 xx 10296 xxx Date: 09/01/08

Filename1 yy 10296 xxx Date: 09/01/08

Filename1 Total 10296 xxx Date: 09/01/08
Filename2 xx Date: 09/05/08
Filename2 yy 10296 xxx Date: 09/05/08
Filename2 Total 10296 xxx Date: 09/05/08
Filename2 10296 xxx Date: 09/05/08

If u can give me brief explaination of the code i can try modifying it for my needs. Again thank you so much for your time and help Smilie

I just wanted the date repeating in every line.

I'm not sure if you're talking about the code I posted or about manosubsulo's solution. Anyway, this is what I get given your sample data:

Code:
$ head file[12]
==> file1 <==
Filename1 xx
Filename1 yy
Filename1 Total
Filename2 xx
Filename2 yy
Filename2 zz
Filename2 Total
Filename3 xx
Filename3 Total

==> file2 <==
Filename1 10296 xxx Date: 09/01/08
Filename2 10296 xxx Date: 09/05/08
Filename3 10296 xxx Date: 09/08/08
$ awk 'NR == FNR {
quote>   rec[$1] = $0
quote>   rest[$1] = $3 FS $4 FS $5
quote>   next
quote>   }
quote> $1 in rec && $0 = /Total/?rec[$1]:$0FS rest[$1]
quote> ' file2 file1
Filename1 xx xxx Date: 09/01/08
Filename1 yy xxx Date: 09/01/08
Filename1 10296 xxx Date: 09/01/08
Filename2 xx xxx Date: 09/05/08
Filename2 yy xxx Date: 09/05/08
Filename2 zz xxx Date: 09/05/08
Filename2 10296 xxx Date: 09/05/08
Filename3 xx xxx Date: 09/08/08
Filename3 10296 xxx Date: 09/08/08

If you get a different result, you should post sample from your real data so I can verify.

Filename2 xx xxx Date: 09/05/08
Filename2 yy xxx Date: 09/05/08
Filename2 zz xxx Date: 09/05/08
Filename2 10296 xxx Date: 09/05/08
