would Solaris 10 shutdown automatically if both CPU fans fail?

Short answer is yes.
Long answer it depends on your system configuration . If your CPUs reach overheat temp then your system will shutdown

but what if we replace them with two wire fans? temperature would be ok, but Solaris would think that fans are not rotating.

yes, i faced this problem..it will shut down due to overheating...

but the fans would work (just the OS wouldn't know it), and CPU wouldn't overheat.
are you sure it'd still shutdown?

i never experimented it but yes the problem i faced was because of hardware issue.if you are usinng two wired fans then i guess there might not be this issue..it shuts down due to over heating of processor ..so there should not be problem with the OS if you use some alternative to cool the CPU

i see. there is one small problem. it logs an (one line) error every hour about fan not working.

/offtopic
I wonder why they haven't somehow attached the heatsink to server chassis to spread the heat.
