My version does not have -R so thats why I have to use Find.

Your solution worked with the find except it not include the filenames I need the filenames as well

find /unixs317/support/scripts -name \*ksh -type f -exec grep -ilc unixs317 {} \; >> outfile

Can you help a little more to resolve this?

Thank you

Ok another try:

Code:
for FNAME in `find . -type f -exec grep -il yo {} \;`; do C=`grep -c yo $file`; echo "${C}:${FNAME}"; done
1:./a.txt
1:./c.txt

If you have filenames that have spaces, you might want to change to some while/read mechanism.

I did not redirect it because I thought you can implement it on your own. Nevertheless, please use [ code ] tags when posting code, data or logs etc.

Code:
for FNAME in `find . -type f -exec grep -il yo {} \;`; do C=`grep -c yo $file`; echo "${C}:${FNAME}" >> OUTFILE.OUT; done
