Actually you can avoid the ugly use of echo | sed by using the shell's built-in variable substitution facility.

Code:
#!/bin/sh
while read pathname; do
  dirname=${pathname%/*}
  basename=${pathname#$dirname/}
  mkdir -p ./"$dirname"
  touch ./"$dirname"/"$basename"
done <Files.txt

Also the cd back and forth is superfluous; touch (just like any other Unix file-manipulation command) can cope with a directory path for the file name.
