Need help with awk scripting

hi all,
I am working on awk scripting.I have created two awk files and now have a requirement of replacing the contents of first file with some contents of second file.
Please find below the two files created.File1 has 3 records and File2 has 4 records.
HTML Code:
cat File1
111,0165,CB21031251,0165,
112,0297,T12014BA01,0297,
118,0760,MC100005 ,0760,

cat File2
UU,0760,
JP,0165,
CI,0297,
VX,0137,

My requirement is to replace the second column and fourth column of File1 with matching codes from File2.My final file should look like:

Code:
111,JP,CB21031251,JP,
112,CI,T12014BA01,CI,
118,UU,MC100005 ,UU,

Can you please suggest a solution. The File1 and File2 in actual scenario can have any number of records.
