awk problem, need help

Here is my simple script:

awk.sh:

awk ' BEGIN { RS="" }
      FILENAME==ARGV[1] { s=$0 }
      FILENAME==ARGV[2] { r=$0 }
      FILENAME==ARGV[3] { sub(s,r) ; print }
    ' 2 3 1 > out

1:
Code:
12345678
12345678
12345678
REPLACE
12345678
12345678
12345678

2:
Code:
REPLACE

3:
Code:
x & x & x = z & z
x & x & x = z & z
x & x & x = z & z

After run script i got out file looking like that:

12345678
12345678
12345678
x REPLACE x REPLACE x = z REPLACE z
x REPLACE x REPLACE x = z REPLACE z
x REPLACE x REPLACE x = z REPLACE z
12345678
12345678
12345678

awk replaces '&' char to my 'search to replace string'

Does anyone got idea how to fix that?

I know that i can do it like:

awk ' BEGIN { RS="";FS="\""; OFS="\""}
      FILENAME==ARGV[1] { s=$0 }
      FILENAME==ARGV[2] { r=$0 }
      FILENAME==ARGV[3] { sub(s,r) ; print }
    ' 2 3 1|sed 's/REPLACE/\&/g' > out

But it is not solution.

What should be the desired output?

The & is substitute with the regex, do you want something like this?

awk 'NR==FNR{r=$0;next} $0==r{system("cat 3")}1' 2 1

# 3

This function is very close, although dont replace 'REPLACE', but adding "cat 3" before it.
