Use nawk.
Code:
awk '  FILENAME=="file2" {arr[$0]++}
         FILENAME=="file1" {
           if( $0 in arr)
               {continue} else  {print $0}
         }'  file2  file1 > file3

Yet another one:
Code:
nawk 'NR==FNR{_[$0];next}!($0 in _)' file2 file1

Workaround

I'm already use this script:

Code:
for i in `cat file1`
do
 grep $i file2|| echo "$i" >> file3
done

but my file1 and and file2 are soo big, like 200.000 rows, it is taking toom uch time (arround 6 howrs) and the file3 have already 40.000 rows, the total must be around 70.000.

Any better option?

Code:
nawk 'NR==FNR{_[$0];next}!($0 in _)' file1 file2 > file3
