IBM To compare two files,Output into a new file

Hi

Please help me to compare two files and output into a new file
file1.txt
Code:
15114933    |4001
15291649    |933502
15764675    |4316
15764678    |4316
15761974    |282501
15673104    |933505
15673577    |933505
15673098    |933505
15673096    |933505
15673092    |933505
15760705    |4221
15760704    |4221
15764676    |4316

file2.txt

 4221|Y
 282501|Y
 933502|N
 933505|N

Column 2 of file2.txt having value "N",I require to remove all occurances for column 1 of file2.txt from file1.txt

New file
Code:
15114933    |4001
15764675    |4316
15764678    |4316
15761974    |282501
15760705    |4221
15760704    |4221
15764676    |4316

Let me know if i amnot clear.

Thanks for the help.

i ran the command

awk -F"|" 'NR==FNR {if ($3=="N") T[$2]; next} ($2 in T) {next} 1' file1.txt file2.txt > new.txt

Its output -new.txt
Code:
4001|Y
4221|Y
282501|Y
933502|N
933505|N

But I need the output as shown below-

15114933    |4001
15764675    |4316
15764678    |4316
15761974    |282501
15760705    |4221
15760704    |4221
15764676    |4316

this requires entry

4316|Y or atleast 4316

in your file2
