Considering /*....*/ as comment, try the following code:

cat bb.txt
p3:s1234owerfail:/usr/sbin/shutdown -y -i5 -g0 >/dev/msglog 2<>/dev/msglog
ca:3:respawn:/opt/GoldWing/currentPM/local/critagt > /dev/msglog 2<>/dev/msglog
ca:3:respawn:/opt/GoldWing/currentPM/local/startcia.sh start > /dev/msglog 2<>/dev/msglog ~

$awk '{if($0 ~ /startcia/ || $0 ~ /critagt/ ) print "/*"$0"*/"; else print $0;'} bb.txt

p3:s1234owerfail:/usr/sbin/shutdown -y -i5 -g0 >/dev/msglog 2<>/dev/msglog
/*ca:3:respawn:/opt/GoldWing/currentPM/local/critagt > /dev/msglog 2<>/dev/msglog */
/*ca:3:respawn:/opt/GoldWing/currentPM/local/startcia.sh start > /dev/msglog 2<>/dev/msglog ~*/

Hope this helps

If this is /etc/inittab the comment is a leading "#". It is safer to edit inittab in single user mode.
